How Diraa conducts research.

Diraa Capital is an independent equity research platform operated under the proprietorship of Mr. Chandrashekhar Dhone, a SEBI Registered Research Analyst, providing research and research recommendations within the scope of its registration.

Our research is developed using a systematic analytical framework that may incorporate technical, quantitative, market-structure, momentum, relative-strength, sectoral, thematic, institutional and other publicly available information, depending on the nature of the research.

Research Recommendations

A Diraa research recommendation represents the Research Analyst's view based on information and analysis available at the time of the recommendation.

A recommendation may subsequently be revised, maintained, reduced, withdrawn or closed when the underlying research conditions change.

Smallcase & Technology Platforms

Diraa may distribute or make certain research products and model portfolios available through third-party technology platforms, including Smallcase. Such platforms may facilitate subscription, portfolio presentation and implementation.

The underlying research and recommendation remain those of Diraa Capital. The use of a technology platform does not constitute discretionary portfolio management by Diraa.

Investor Responsibility

Investors are responsible for independently evaluating research recommendations, considering their own circumstances and risk tolerance, and deciding whether, when and how to act.

Diraa does not take custody of investor funds or securities and does not execute trades on behalf of investors.

Diraa shall endeavour to resolve investor grievances within the applicable regulatory timeline.

21 days — Under the current Investor Charter, an RA is required to strive to redress a grievance immediately and not later than 21 days from receipt of the grievance.

If you remain dissatisfied with the resolution provided by Diraa, you may escalate the grievance through SEBI SCORES. You may also use the applicable Online Dispute Resolution (ODR) mechanism where available.

01 — Information We Collect+

Depending on the nature of your interaction with Diraa, we may collect name, email address, mobile number, communication address, PAN and KYC information where required; subscription information; research-service details; client requests; correspondence; communications relating to research services; and information necessary to administer your relationship with Diraa.

We may maintain information necessary to administer research-service fees, invoices and payment status. Diraa does not require your trading, demat or bank-account passwords or OTPs.

02 — Information Processed Through Third-Party Platforms+

Diraa may use third-party platforms to provide or facilitate aspects of its research services. Where a service is accessed through Smallcase or another third-party platform, information may be collected and processed directly by that platform under its own privacy policy and terms.

Diraa will process information received from or through such platforms only for purposes connected with the research service, client administration, compliance, regulatory obligations and other legitimate purposes.

04 — Confidentiality+

Diraa will maintain confidentiality of information provided by clients, except where disclosure is required by law or regulation; required by SEBI, RAASB, a court or competent authority; necessary to discharge a legal obligation; necessary for an authorized service provider to provide the contracted service; or authorized by the client.

Diraa may engage third-party service providers for hosting and technology, payment processing, KYC and onboarding, e-signature, communications, compliance, analytics and other operational functions. Such providers will receive information only to the extent necessary for the relevant service or legal obligation.

Diraa may retain information for as long as required to provide the relevant service, satisfy regulatory requirements, comply with applicable law, maintain required records, resolve disputes or protect legitimate legal and compliance interests.

Diraa maintains reasonable technical and organizational safeguards intended to protect personal information against unauthorized access, misuse, alteration, loss or disclosure. No electronic transmission or storage system can, however, be guaranteed to be completely secure.

These Terms of Service govern your access to the Diraa Capital website and use of services provided by Chandrashekhar Dhone under the trade name Diraa Capital. Where a separate Research Services Agreement, Terms & Conditions, MITC, subscription agreement or product-specific terms apply, those documents form part of the applicable contractual relationship.

01 — Diraa's Services+

Diraa Capital provides research services within the scope of its SEBI registration. Research may include technical and quantitative analysis, momentum and relative-strength analysis, market-structure analysis, price and volume analysis, order-flow analysis, sectoral and thematic analysis, institutional and ownership information, publicly available company and financial information, and other research inputs considered relevant to the applicable methodology.

02 — Research Recommendations+

A research recommendation represents Diraa's research view based on information and analysis available at the relevant time. Recommendations may be revised, maintained, reduced, withdrawn or closed as research conditions change.

A research recommendation is not a guarantee of performance or outcome.

03 — Model Portfolios+

Where Diraa provides a defined basket of securities with applicable weightages, investment horizon and rebalancing framework, the service may constitute a model portfolio under the applicable SEBI framework. Such model portfolios are research services and are not discretionary portfolio management.

04 — Smallcase and Third-Party Platforms+

Diraa may make certain research products and model portfolios available through third-party technology platforms such as Smallcase. The relevant platform may provide functionality for subscription, portfolio presentation and implementation. The platform's own terms, privacy policy and applicable charges may separately apply.

Diraa remains responsible for the research it provides within the scope of its SEBI registration.

05 — Investor Autonomy+

Diraa provides research. The investor makes the investment decision.

The investor remains responsible for deciding whether to act on a recommendation, when to act, how much to invest, and whether to continue or discontinue an investment. Diraa does not make investment decisions on behalf of the investor.

06 — No Discretionary Management or Execution+

Diraa does not receive or hold investor funds for investment, take custody of investor securities, operate investor bank accounts, operate investor trading or demat accounts, request trading, demat or banking passwords, request OTPs, or execute trades on behalf of investors.

07 — No Assurance of Returns+

Diraa does not guarantee or assure profits, returns, achievement of a target price, preservation of capital, achievement of an investment objective, or future performance of any security, strategy or model portfolio.

Registration granted by SEBI and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.

08 — Fees+

Applicable research-service fees will be disclosed before subscription and will be governed by the applicable research-service terms. Fees, refunds and termination provisions may differ according to the nature of the client and service and shall comply with applicable SEBI requirements. The applicable research-service terms and consent process shall prevail for the subscribed service.

09 — Conflicts of Interest+

Diraa maintains policies to identify, manage and disclose material conflicts of interest. Where a conflict is material to a research recommendation, the relevant disclosure shall be made in accordance with applicable requirements.

10 — Client Communications+

Diraa may maintain records of interactions and communications relating to research services, including communications with prospective clients before onboarding. Such records may include written, electronic and other legally verifiable communications, subject to applicable law.

11 — Communication Channels+

Research may be communicated through the channels specified for the relevant research service. Diraa may introduce additional communication channels where appropriate and subject to applicable regulatory requirements. A private messaging group or communication channel does not, by itself, create a separate research service or authorize the distribution of recommendations outside the applicable service terms.

12 — Intellectual Property+

Research, reports, methodologies, frameworks, analytical systems, written materials, charts, software and other materials provided by Diraa remain subject to applicable intellectual-property rights. Unless expressly permitted, clients may not reproduce, commercially redistribute, resell or systematically republish Diraa research.

13 — Termination+

A research service may be terminated in accordance with the applicable research-service terms. Where regulatory requirements prescribe specific consequences for suspension or cancellation of registration, the applicable regulatory provisions shall apply.

14 — Grievance Redressal+

Investors should first contact Diraa through its grievance-redressal mechanism. If dissatisfied with the resolution, investors may approach SEBI through SCORES and, where applicable, the ODR mechanism.

15 — Changes to These Terms+

Diraa may update these Terms to reflect changes in applicable law or regulation, SEBI or RAASB requirements, services, technology or operational practices. Where a change affects contractual research-service terms, the applicable notice and consent requirements shall be followed.

16 — Regulatory Framework+

These Terms are subject to applicable Indian law and the regulations, circulars and directions applicable to Diraa's research services. Where a provision of these Terms conflicts with a mandatory regulatory requirement, the applicable regulatory requirement shall prevail.
